Acceptance Of Terms

We, Urban Reach Adverts Limited operate the changeofname.ng website and linking social media pages (collectively, "Sites" ).

By using the Sites, you agree to these Terms of Service (the "Terms"). These terms govern your access to and the use of the Sites and our services (the "Service").

If you do not agree to the Terms, do not use the Sites. You will still be bound by the Terms as they existed when you last used the Sites. We reserve the right to make changes to these terms at any time.

Please check back from time to time to ensure you are aware of any updates or changes. THESE TERMS INCLUDE AN AGREEMENT TO SUBMIT ALL DISPUTES TO INDIVIDUAL MANDATORY ARBITRATION.


Contract

1) About Us

1.1 Whenever you use our service through https://changeofname.ng, you will be contracting with Urban Reach Adverts Limited, a limited liability company incorporated in Nigeria (registered number 1983798) whose registered address is at 12 Juloen Street, Ikotun, Lagos State, Nigeria.

You will look solely to Urban Reach Adverts Limited with respect to any disputes, claims, and causes of action arising out of or connected with your use of a service through changeofname.ng.

1.2 In these Terms, references to "we" or "us" are to Urban Reach Adverts Limited.

1.3 In these Terms, references to "you" or "your" are references to you whether as a visitor or customer.

1.4 In these Terms, where references to "we" refer to "you and us", it will be explicitly expressed.

2) General Requirements

2.1 By using our service, you represent and warrant that:


2.1.1 you are at least 18 years of age;

2.1.2 you are of sound mind and have the capacity to enter into a legally binding contract and these Terms;

2.1.3 any document that you provide to us during the online checkout process are true copies of the original document to which they relate;

2.1.4 you hold a bank account with a licensed financial institution in your own name and will use this account to transfer money to our account when you conduct transactions on the Site;

2.1.5 you shall take full responsibility and/or liability for any cause, matter or action, claims or expenses that may arise as a result of the publication of your advert by your preselected publisher;

2.1.6 you shall ensure the legal representation of your preselected publisher and/or us in any case or suit whether civil or criminal that may be instituted against your preselected publisher and/or us in any court or tribunal in Nigeria and also be made liable for any cost and incidental matters that may arise therefrom, as a result of the publication of your advert;

2.1.7 if you are accepting these Terms on behalf of an individual, a group of individuals, or an entity, you are duly authorised to do so and will assume full obligations in their absence; and

2.1.8 you are not breaching any laws or regulations that are applicable to you, the individual, the group of individuals, or the entity upon whose instructions you are acting.


3) We agree, subject to payment of applicable rates and charges, to arrange with a publisher for the publication of adverts in a national newspaper.

4) We agree, subject to payment of applicable rates and charges, to contract a courier or courier service to transport copies of newspapers containing published adverts between locations.

5) In serving as an intermediary between you and a publisher, we reserve the right to publish your adverts with another publisher, when we deem it impracticable to publish your advert with your preselected publisher.

6) In the event of the provision of section 5:



6.1 Where the cost of publishing your advert is greater than the publishing fees already paid by you, we shall cover the additional cost.

6.2 Where the cost of publishing your advert is less than the publishing fees already paid by you, we shall refund the excess amount, less 40% service fee.

6.3 Refunds will not be in cash. The equivalent amount in airtime credit will be credited to the contact phone number that you specified during the checkout process.

6.4 Where the phone number that you specified during the checkout process is not issued by a local mobile network operator, we shall contact you to provide an alternative mobile number.

6.5 We may contact you to notify you of the effected change.

6.6 Subsections 6.2 – 6.4 will not be applied if you do not communicate your dissatisfaction after 10 business days. In which case, we have assumed that you are satisfied.


7) Shipping

7.1 You agree to be bound by the service terms of any courier or courier service that we may contract to transport your newspaper publication to you.

7.2 Shipping charges will be added to your order during the checkout process.

7.3 At the time of concluding a shipment contract with our shipping partner:

7.3.1 The presented shipping price is the amount that you have paid, during the checkout process, to cover your publication shipping cost.

7.3.2 The actual shipping price is the amount that we will pay the courier to transport your publication to you.

7.3.3 Presented shipping price is only indicative and might differ from actual shipping price.

7.3.4 Where the actual shipping price is moderately higher than the presented shipping price, the presented shipping price will stand as the actual shipping price.

7.3.5 where the actual shipping price is extremely higher than the presented shipping price, we will notify you for further actions.

7.3.6 Where the actual shipping price is moderately lower than the presented shipping price, the presented shipping price will stand as the actual shipping price.

7.3.7 Where the actual shipping price is extremely lower than the presented shipping price, we will notify you for further actions.

7.3.8 We reserve the right to decide the amount of difference between the presented shipping price and the actual shipping price that is moderate or extreme.

8) Placing Your Order

8.1 When you start the order placement process, we will provide you with a detailed summary at checkout. Please confirm your details before proceeding.

8.1.1 Where your submitted content is observed and deemed unfit for publication due to its inappropriateness or grammatical incorrectness, we may contact you for amendment.

8.1.2 Nothing in paragraph 8.1.1 transfers a supervisory obligation to us as your confirmation, upon order placement, is final and treated as is.

8.2 Please note that your completion of the online checkout process does not constitute our acceptance of your order.

8.3 Our acceptance of your order only takes place when:

8.3.1 Your advert is published.

8.3.2 Your advert is published and we ship it.

8.3.3 Your newspaper is reprinted and we ship it.

8.4 A "service contract" between you and Urban Reach Adverts Limited is therefore made at the point of advert publication, advert publication and shipment, or newspaper reprint and shipment, rather than at the point of payment.

8.5 If you have cancelled your order, or if we notify you that we cannot accept your order, then no service contract will have been made.

8.6 From time to time, we may not be able to accept an order for the following reasons:

8.6.1 Where we cannot obtain authorization for your payment;

8.6.2 If you do not meet any eligibility criteria set out in these Terms of Service.

8.6.3 Where there is an extreme amount of difference between the presented shipping price and the actual shipping price.

9) Payment

9.1 You can pay for your service using the payment options provided by our payment processor at checkout.

10) Costs

10.1 From time to time, we will update the price to publish adverts with a publisher on the Sites.

10.2 Shipping cost is derived based on the shipping destination.

10.3 Shipping cost might be influenced by rapidly fluctuating exchange rate.

10.4 Total cost of service, which may include, service charge, applicable tax, publication price, and shipping cost will be calculated and displayed during checkout.

11) Changing or Cancelling an Order

11.1 We can assist with making changes to the details of your order or outright cancellation so far as it is within our domain to do so.

11.2 Please contact us within an hour of placing your order.

12) Governing Law

12.1 The applicable Law regarding this agreement are the Laws of the Federal Republic of Nigeria.

13) Data Protection

13.1 Security

13.1.1 We maintain safeguards intended to protect the integrity and security of the Sites. However, we cannot guarantee that the Sites will be secure, complete or correct, or that access to the Sites will remain uninterrupted.

13.2 Third Party Web Sites; Links

13.2.1 The Sites links to other web sites and online services. We have no control over such third parties. We do not endorse their products and services. We are not responsible for the availability, accuracy, or security of such sites.

14) Disclaimer

14.1 Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non–infringement, or course of performance.

14.2 Urban Reach Adverts Limited does not warrant that:

14.2.1 the Service will function uninterrupted, secure, or available at any particular time or location;

14.2.2 the Service is free of viruses or other harmful components;

14.2.3 the results of using the Service will meet your requirements.

15) Dispute Resolution Terms

15.1 Mandatory (Individual) Arbitration

15.1.1 You agree that any Dispute between you and us will be resolved exclusively in individual (non–class) arbitration. We (you and us) intend to be bound to the Arbitration and Conciliation Act, Cap A18, Laws of the Federation of Nigeria. An arbitration means there will be no jury, and no judge.

15.2 Choice of Arbitrator

15.2.1 In the case of any disputes, claims, and causes of action arising out of or connected with your use of the Sites (each, a "Dispute") , including without limitation a purchase of service through the Sites, we (you and us) will mutually agree on the selection of an arbitrator. If we (you and us) cannot mutually agree on the selection of an arbitrator after 15 business days, we (you and us) shall apply to the Lagos Court of Arbitration (LCA) to appoint an arbitrator.

15.3 Scope of Arbitration

15.3.1 The arbitrator shall exclusively determine all issues as to the Dispute, applying these Terms.

15.3.2 The arbitrator shall also determine any question as to whether any Dispute or issue is subject to arbitration.

15.3.3 The arbitrator shall not have the power to hear any Dispute as a class action, mass action, or representative action.

15.3.4 The arbitrator shall not have any power to issue relief to anyone but You or us.

15.4 Choice of Venue

15.4.1 You agree that any Disputes shall be heard exclusively in Lagos, Nigeria.

15.5 Class Action Waiver

15.5.1 You agree that any Dispute between us shall be resolved in an individual action. Under no circumstances will you file, seek, or participate in a class action, mass action, or representative action in connection with a Dispute.

15.6 Remedies Available in Arbitration

15.6.1 The arbitrator may grant any remedy, relief, or outcome within sixty (60) business days, and provide in writing, the reasoning for the award. Such decision will be final and binding on you and us.

16) Miscellaneous

16.1 Notices

16.1.1 Notices to you may be made via posting to the Site, by email, by mobile text message, by Whatsapp message, by phone call, or by regular mail, in our sole discretion.

16.2 Force Majeure

16.2.1 We will not be responsible for any failure to fulfil any obligation due to any cause or circumstance beyond our control. These circumstances include, but not limited to, any adverse weather conditions, such as flood, extreme winds, fire, explosion, accident, traffic congestion, obstruction of any private or public highway, acts of governmental authorities, pandemic, riot, terrorism, act of God, or from any industrial dispute or strike.

19.2 Removal Requests

19.2.1 If your selfie has been quoted, you may request removal through a direct Twitter message to us, clearly stating your request and providing the tweet quote date. We will process all removal requests promptly and diligently.

19.2.2 Please note that due to potential caching or delays on the Twitter platform, the receipt of your removal request and actual removal may not be immediate.

19.2.3 We assume positive participation acknowledgment when no removal request is made by you or when your removal request is not made according to the guidelines stated herein.

19.3 Selfie Quotation Disclaimer

19.3.1 Submitting a Twitter handle through our form does not obligate us to quote an associated selfie. We reserve the right to select content based on internal criteria and editorial guidelines.

19.4 Consideration for Re-submission

19.4.1 A participant whose selfie had been previously quoted is kindly advised to wait for two years from the date of previous feature before considering re-submission. This approach is designed to foster variety and inclusivity.

19.5 Limited Liability

19.5.1 Please note that while we focus on highlighting individuals to facilitate engagement through image quotation, we do not control any subsequent interactions or their outcomes.

19.5.2 We disclaim any liability for any consequences arising from connections or relationships formed through our exhibition.

19.5.3 Participants are solely responsible for ensuring that connections are made with genuine and compatible individuals as well as exercising appropriate discretion and taking necessary precautions in their online interactions.
